Construction Law

Residential and Commercial Construction involves everything from contracts for the purchase of real estate to construction contractor agreements to the commencement of construction to ensuring that contractors, subcontractors, suppliers, vendors, and material providers are paid for their services.   For an owner, this means having someone who knows construction law inside and out, including what to watch out for and what needs to be part of the process.  For construction managers, general contractors, subcontractors, vendors, and material providers, a knowledgeable, experienced construction law attorney is vital to ensuring your work is protected.  That means making sure you get paid.

Michigan operates under a very detailed set of rules for construction, including construction codes, guidelines, and the Michigan Construction Lien Act.   These protect both property owners, residential and commercial alike, as well as contractors.  When a party to a construction of any kind breaches their duty, you need an attorney with extensive construction law experience to help you.

Paul has represented clients in every aspect of residential and commercial construction across Michigan.  A construction law litigator, Paul focuses on ensuring the construction process exists to avoid a dispute; however, if a problem arises, Paul also has the experience to ensure it is resolved in his clients’ best interest.

Paul’s construction law experience includes:

  • Construction Lien Foreclosure
  • Negotiation, Drafting, Review and Revision to Construction Contracts
  • Homeowner representation
  • Contractor, Subcontractor, Vendor and Material Supplier Representation
  • Construction Management Agreements
  • Sheriff’s Sale and Redemption

Contracts are the single most important aspect of nearly every business.  At the same time, if not done properly and with an eye toward the future, they can become a source of frustration, delay, unnecessary expense and, often, litigation. Individuals and businesses that decide to draft or review contracts on their own often discover, sooner or later, that the assistance of a contract expert is the only way to ensure all bases are covered.  That’s where Paul comes in.

An expert in contract negotiation, drafting, review and litigation, Paul has represented hundreds of individual and business clients in virtually every type of contract including:

  • Asset Sale and Purchase Agreements
  • Buy-Sell/Cross Purchase Agreements
  • Corporate Bylaws and Limited Liability Company Operating Agreements

Litigation

As much as we try to avoid them, lawsuits are sometimes inevitable.  Having a tough and experienced litigator will often be the difference between winning and losing.  Hiring the right attorney is the first and most important step.  How many cases has your attorney litigated?  How many trials have they conducted?  What types of cases have they represented clients in that have gone to trial?  Do they litigate in your best interest, or their own?  These are the types of questions you should ask any attorney you are considering hiring to represent you in court.

Paul has litigated hundreds of cases of all types.  He has conducted trials in district, circuit, administrative and claims courts all over Michigan and has successfully represented clients in every aspect of the court process, from filing to trial. Paul has also represented clients in all aspects of appeal including the state and federal appeals courts. Paul has litigated cases in virtually every aspect of civil and business law as well as private arbitration.

No one wants their problems to end up in court and starting with a good attorney will help achieve that goal.  Sometimes, however, a lawsuit is the only way to resolve a dispute.  If you are in that situation, you need the experience of an attorney who has not only been there, but has been successful doing it.  Paul is that attorney.

Probate

Probate can be the most confusing and frustrating process in the law.  A big part of that frustration is dealing with a situation that is sad or unpleasant in a system that is simply unfamiliar.  If you need help with an ill loved one or are faced with handling the affairs of someone who has died, you will find yourself face-to-face with the probate system.  An experienced probate attorney can be the difference between a good experience and a bad one.

Broken down to decedent’s estate and minor and adult guardianships and conservatorships, probate exists to ensure proper care of loved ones who need help during their lives as well as administration of their estate after they’ve passed away.  Each process can be difficult if you don’t have someone with the knowledge and experience guiding you.

Paul has assisted clients in all aspects of probate law throughout Southeastern Michigan’s probate courts, including Macomb, Oakland, Wayne, St. Clair, Genesee, Livingston, Monroe, and Lapeer.

For Guardianships and Conservatorships, Paul’s experience includes:

  • Petitions for Guardianship of adults and minors
  • Petitions for Conservatorship of adults and minors
  • Guardianship Annual Reports
  • Conservatorship Annual Accounts
  • Objections to Appointment
  • Transfer of Appointment
  • Terminations and Reinstatements of Guardianship and Conservatorship
  • Transfer of Guardianship and Conservatorships to foreign jurisdictions
  • Bond Application and Confirmation

The Guardianship and Conservatorship process is intended to last as long as needed. Paul will help you the entire way from petition or application of Guardianship and/or Conservatorship to annual review and Court filings.

For Decedents Estates, Paul’s experience includes:

  • Petitions for Supervised/Formal Probate
  • Applications for Unsupervised/Informal Probate
  • Probate Estate Administration
  • Probate Personal Representative services
  • Probate Inventory preparation and presentation
  • Probate Estate Distribution Motion Practice
  • Preparation of Estate Accountings
  • Asset Distribution/Liquidation/Transfer During Probate
  • Probate Bond Application and Confirmation with Approved Bonding Companies
  • Probate Estate Closing and Certificates

Paul has also served as appointed Personal Representative (Executor) to decedent estates and worked with families to ensure the proper administration and distribution of probate estates.

Property Law

The single most valuable asset to most individuals, and businesses, is their property.  That’s a fact.  Yet all too often, clients do not want to bother with legal representation when purchasing, selling or leasing.  That’s sometimes based on concern over expense or perhaps a bad prior experience, or both.   It’s understandable.  Getting good legal representation for your property matters shouldn’t break the bank and shouldn’t create more questions than answers.  The right attorney should address those concerns.

Property comes in different forms: real property and personal property.  Real property can cover everything from buying, selling and leasing homes, buildings, and land.  Personal property refers to all physical possessions.  Both are important to you and your business. Both should be protected, and to do that, you need an expert who understands precisely what it takes to achieve your desired outcome.

Paul has represented clients in virtually every type of property matter, including:

  • Negotiation, drafting, modification and execution of purchase agreements for both residential and commercial real estate, buildings, agricultural property and vacant land;
  • Negotiating and drafting of guaranty documents for real estate leases;
  • Review, redline, and revisions to residential and commercial leases and purchase documents for business franchises, commercial plazas, large commercial buildings, medical office, vacant and investment property, historical buildings, elder care facilities, and storage facilities;
  • Representation of residential and commercial clients in zoning matters including Zoning Appeals, as well as rezoning of commercial, residential, industrial, and agricultural lands in Southeastern Michigan;
  • Litigation on all real estate matters, including:
    • Lease termination and collection
    • Lease enforcement
    • Purchase Agreement termination and enforcement
    • Commercial guaranty enforcement and defense
    • Property lien and border disputes, including quiet title and adverse possession
    • Sale in lieu deeds
    • Easements
    • Quiet Title
    • Adverse Possession
    • Land Contracts
    • Forfeiture Lawsuits – Tax and Land Contract

Wills & Trusts

No one likes to think about what will happen if we die.  It’s not a pleasant subject, and most of us would prefer to focus on happier thoughts.   As much as we’d like to avoid dealing with it though, estate planning is one of the most important things you can do for your family.  It ensures that your affairs are in order when the unthinkable happens and, more often than not, clients feel immense relief once they have prepared their estate plan.  That comes from having a comfort level with your attorney.

Estate planning begins with a no-charge consultation.  From that discussion, you should understand all aspects of the estate planning process and be given recommendations on how to arrange your affairs to best achieve your personal goals.  You and your attorney should discuss:

  • What a Will is
  • What types of Wills there are
  • What a Will is for
  • How a Will differs from a Revocable Trust
  • What is the difference between a Revocable Trust and an Irrevocable Trust
  • When should you use an Irrevocable Trust
  • What happens if a loved one has special needs
  • How to create a distribution to children, or grandchildren, who are minors
  • How to ensure that a distribution is used for the care, support, and maintenance of beneficiaries
  • What are the different types of Powers of Attorney
  • What is a Living Will and a Medical Directive
  • Is an Estate Plan even necessary
  • What are your goals
  • What is the cost
  • Can a Will or Trust be amended, and what is the cost of an amendment
  • How do you fund a trust
  • What happens to your personal property (your stuff)
  • What happens to your real property (your home/land)

There are no ‘dumb’ estate planning questions, just as there is no ‘right’ or ‘wrong’ way for you to distribute your estate to your beneficiaries.  Everything and anything you think of is on the table, and you should feel at ease to ask as many different questions as you need answers for.  All of that requires an experienced estate planning attorney who understands what it takes to properly plan your estate.

Paul has prepared hundreds of estate plans for clients of all ages and all situations.  His goal is to ensure you understand the process, are comfortable, and, most importantly, that the estate plan does what it is designed to do; administer your estate exactly how you want it to be administered.
